ანოტაცია

საერთო კრება კაპიტალური ტიპის საზოგადოების აუცილებელი მმართველობითი ორგანოა.  საერთო კრების გადაწყვეტილება არის მნიშვნელოვანი სამართლებრივი დოკუმენტი. თუმცა მისი მნიშვნელობა დამოკიდებულია მფლობელობით სტრუქტურაზე.  საერთო კრება და პარტნიორთა კრების ოქმი არის მნიშვნელოვანი სამართლებრივი ქმედებაა, რომელსაც სამართლებრივი შედეგებიც მოჰყვება როგორც პარტნიორებისთვის, ასევე მესამე პირებისთვის, რომელებიც ვალდებულებითსამართლებრივ ურთიერთობაში არიან სამეწარმეო საზოგადოებასთან. მეტიც კერძო თუ საჯარო დაწესებულებებში არ არის ერთიანი პრაქტიკა რა შემთხვევაშია საჭირო პარტნიორთა კრების ოქმის წარდგენა გარკვეული გარიგების დადებისთვის, რაც გაურკვევლობას იწვევს. სპეციალური კანონის ახალი რედაქცია ცალკე მუხლად აწესრიგებს საერთო კრების გადაწყვეტილების შეცილების შესაძლებლობას  იმ შემთხვევაში, როდესაც პარტნიორმა ხმა გადაწყვეტილების წინააღმდეგ მისცა. მოცემული ნაშრომის მიზანია დაადგინოს საქართველოს სასამართლო პრაქტიკა და მიუსადაგოს იგი სამეცნიერო დოქტრინას, რამდენად შეესაბამება სასამართლო პრაქტიკა მას და რა შედეგები შეიძლება დადგეს სამომავლოდ, როგორაა შესაძლებელი პარტნიორთა კრების ოქმის ბათილობისგან მესამე პირებმა, კერძოდ, საბანკო დაწესებულებებმა, თავი დაიცვან ვალდებულებითსამართლებრივი ურთიერთობის შეწყვეტისგან. სტატიაში განხილულია პარტნიორთა კრების სამართლებრივი ბუნება, პარტნიორთა საერთო კრების ბათილობის ფორმალური და შინაარსობრივი საფუძვლები, მიმოხილულია სასამართლოს განმარტება პარტნიორთა კრების ოქმის ბათილობის აუცილებლობასთან დაკავშირებით.
