Abstract

Asymmetrical Arbitration Clauses (AACs) occupy a contentious and increasingly important space in contemporary arbitral practice. While these clauses have long been used in commercial relationships marked by unequal bargaining power (particularly in finance, distribution, and cross-border supply arrangements) their juridical status remains dissimilar in various states. AACs challenge foundational principles of arbitration, including party autonomy, equality of arms, and procedural fairness, and they force courts and arbitral tribunals to confront the tension between contractual freedom and structural imbalance. Although some legal systems readily uphold such clauses as commercially pragmatic expressions of negotiated risk allocation, others treat them with marked suspicion, invoking public policy, doctrines of unconscionability, or procedural equality to deny enforceability.

This article examines the conceptual essence of AACs, the doctrinal arguments provided against them (potestativity, lack of mutuality, imbalance, and unconscionability) and the highly diverse national responses across major jurisdictions. By analyzing comparative case law and the broader normative debates in international arbitration, the article seeks to demonstrate whether and under what circumstances AACs should be enforceable. The objective is not merely to catalog divergent judicial attitudes, but to identify common (or at least, widely spread) approach that can guide practitioners in predicting enforceability and drafting enforceable dispute resolution clauses in unbalanced commercial relationships.
